Terms & Conditions

"Program" refers to the WinGates affiliate partnership program operated by WinGates Ltd. ("Company", "we", "us", "our").

"Affiliate", "Partner", "you" or "your" means any individual or legal entity approved to participate in the Program.

"Player" means an end user referred to the Company's brands through Tracking Links generated for the Affiliate.

"Tracking Link" means the unique URL, banner, landing page, or promotional asset provided to the Affiliate for the purpose of directing traffic to the Company's brands.

"Net Revenue" means gross gaming revenue generated by referred Players less bonuses, chargebacks, fraud losses, payment processing fees, gaming duties, and applicable royalties.

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to apply. Registration by minors is strictly prohibited.

All information provided during registration must be accurate, complete, and kept up to date. Providing false or misleading information is grounds for immediate termination and forfeiture of all pending commissions.

Acceptance into the Program is at the Company's sole discretion. We may decline any application without providing a reason.

You represent that participation in the Program does not violate any laws, regulations, or contractual obligations that apply to you.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized access or suspected security breach.

Only one account per Affiliate is permitted. Duplicate accounts will be closed and associated commissions may be voided.

You may only promote our brands using approved creatives, Tracking Links, and materials supplied through the Program interface.

You must not modify, alter, or misrepresent our trademarks, logos, or brand identity in any way.

You are prohibited from bidding on our brand names, misspellings, or variants on any search engine or paid advertising platform ("brand bidding") without prior written consent.

Spam, unsolicited messaging, misleading claims, false promises of winnings, incentivized traffic, cashback offers, and traffic from adult, hate, illegal, or copyright-infringing sources are strictly forbidden.

You must not target jurisdictions or audiences where online gambling is prohibited, or where our brands hold no license to operate. A current list of restricted territories is maintained inside the affiliate dashboard.

All marketing communications must comply with responsible-gambling standards and include age (18+) and self-exclusion messaging where required by local law.

Commissions are calculated on Net Revenue generated by qualifying Players referred through valid Tracking Links.

Reporting is provided in real time via the affiliate dashboard. Final month-end figures are locked within the first ten (10) business days of the following month.

The minimum payout threshold is EUR 100 (or currency equivalent). Balances below this threshold roll over to the next payment period.

Payments are issued monthly by bank transfer, e-wallet, or cryptocurrency, subject to available options and processor limits.

Any negative carry-over resulting from bonus abuse, chargebacks, or fraud will be offset against future commissions.

You are solely responsible for any taxes, fees, or contributions arising from your commission earnings.

The Company operates a zero-tolerance policy against fraud, bonus abuse, self-referral, artificial traffic, and manipulation of Tracking Links or player activity.

We reserve the right to investigate suspicious activity, withhold payments during investigation, void affected commissions, and permanently terminate the account of any Affiliate found to be in breach.

Any attempt to game, hack, reverse-engineer, or otherwise interfere with the Program infrastructure is prohibited and may result in legal action.

All non-public information exchanged in connection with the Program — including commercial terms, reporting, unreleased campaigns, and player data — is confidential.

You agree not to disclose such information to any third party without our prior written consent, and to protect it with at least the same standard of care used for your own confidential information.

All trademarks, logos, creatives, copy, and marketing collateral supplied by the Company remain our exclusive property.

We grant you a limited, non-exclusive, non-transferable, revocable license to use these materials strictly for the purpose of promoting our brands under this Agreement.

The license terminates automatically upon suspension or termination of your account.

We process personal data in accordance with our Privacy Policy and applicable data-protection legislation, including the GDPR where relevant.

You warrant that any personal data you transfer to us, or collect on our behalf, has been obtained lawfully and with the necessary consents.

You must implement appropriate technical and organisational measures to protect personal data under your control.

The Company is committed to responsible gambling and expects the same commitment from its Affiliates.

You must not promote our brands to self-excluded or vulnerable persons, minors, or individuals residing in restricted jurisdictions.

All promotional material must respect the principles of fairness, transparency, and player protection.

This Agreement commences upon acceptance of your application and continues until terminated by either party.

Either party may terminate this Agreement for convenience by providing thirty (30) days' written notice.

The Company may terminate immediately, without notice, in the event of a material breach, fraud, illegal activity, or reputational risk.

Upon termination you must cease all use of our trademarks, remove all Tracking Links and creatives, and destroy all confidential materials.

Pending commissions may be withheld pending final reconciliation and, where applicable, forfeited in accordance with these Terms.

To the fullest extent permitted by law, the Company's aggregate liability under this Agreement is limited to the total commissions paid to the Affiliate during the six (6) months preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

Nothing in this Agreement excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

We may amend these Terms at any time by publishing an updated version inside the affiliate dashboard or notifying you by email.

Continued use of the Program after the effective date of the update constitutes your acceptance of the revised Terms.

This Agreement is governed by and construed in accordance with the laws of Malta, without regard to conflict-of-laws principles.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malta.
